Terms of Service

These Terms of Service (“Terms”) govern your access to and use of GoCliqs (the “Service”). By creating an account, browsing the site, or using the Service, you agree to these Terms. This document is a product description of how the Service works and may be updated from time to time; it is not a substitute for advice from your own counsel.

1. The Service

GoCliqs provides ticket hosting tools for organizations: creating events, configuring ticket types, selling tickets online, and related organizer features such as payouts via Stripe Connect. Features available to you may change as we improve the product.

2. Accounts

You sign in with a Google account through our authentication provider (Supabase Auth). You are responsible for activity under your account and for keeping your Google account secure. You must provide accurate information when using organizer features (for example, organization and event details).

3. Organizer obligations

If you use GoCliqs as an organizer, you agree to:

  • Publish accurate event, ticket, and pricing information, and comply with applicable laws for your events and sales.
  • Complete Stripe Connect onboarding when required so paid sales and payouts can function.
  • Honor valid tickets and communicate cancellations, schedule changes, and refund policies to buyers as required by law and your own policies.
  • Not use the Service for illegal, fraudulent, or harmful activity, or to sell inventory you do not have the right to sell.

4. Payments, fees, and taxes

Ticket purchases on GoCliqs are processed using Stripe Connect destination charges. GoCliqs is the merchant of record for those charges.

GoCliqs uses a what-you-see-is-what-you-pay (“WYSIWYP”) model for paid tickets:

  • Buyers pay the listed all-in price shown for the ticket (no separate platform fee or tax line added at checkout beyond that listed total).
  • Organizers receive the agreed organizer net for each paid ticket (the amount they configured to earn), subject to successful payment and the Service’s payout mechanics.
  • GoCliqs’s Stripe application fee is the portion of the charge retained by the platform. That application fee includes the platform fee, amounts reserved for estimated payment-processing costs, and amounts collected for tax remittance.
  • Tax is treated as remittance via the application fee. Tax amounts collected in the listed price are not organizer revenue and are not deducted from the organizer’s stated net.

Platform fee percentages, tax parameters used in pricing estimates, and related settings may be configured by GoCliqs and may change. Estimates shown in organizer tools (for example, processing or tax lines in a price preview) are informational. Actual card-network and processor costs, and tax obligations, depend on payment outcomes and applicable law. Remittance and filing practices may evolve as the product matures; these Terms describe the intended money split on destination charges, not a guarantee of any particular tax filing workflow.

Payment processing is provided by Stripe. By using paid features, you also agree to applicable Stripe terms for connected accounts and buyers as required by Stripe.

5. Refunds and cancellations

Refund and cancellation handling depends on product capabilities in effect at the time of the request and on applicable law. Contact us at legal@gocliqs.com for assistance. Organizers remain responsible for their event commitments to buyers except where the Service expressly takes on a specific obligation.

6. Prohibited uses

You may not:

  • Attempt to circumvent fees, inventory holds, or access controls.
  • Scrape, overload, or disrupt the Service.
  • Upload unlawful content, malware, or material that infringes others’ rights.
  • Misrepresent your identity, organization, nonprofit status, or authority to sell tickets.

7. Intellectual property

GoCliqs and its branding, software, and documentation remain our property or that of our licensors. You retain rights to content you upload (such as event descriptions and images), and you grant us a license to host and display that content as needed to operate the Service.

9. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted availability, that every sale will complete, or that organizer tools will produce a particular financial outcome beyond the payment split described when a charge succeeds as designed.

10. Limitation of liability

To the fullest extent permitted by law, GoCliqs and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising from your use of the Service. Our aggregate liability for claims relating to the Service will not exceed the greater of (a) amounts you paid us in platform fees for the three months before the claim or (b) one hundred U.S. dollars (US$100), except where liability cannot be limited by law.

11. Changes

We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except where mandatory consumer protections in your jurisdiction apply.
